Part 91 and Part 135 are often spoken about as though an aircraft simply moves from one box to another. For an owner, the practical reality is more demanding. The same aircraft can support private owner use and, when appropriately authorized and operated, third-party charter—but the flights do not become legally or operationally interchangeable.

The distinction shapes who exercises operational control, when compensation or hire is involved, which rules apply to a flight, how the aircraft becomes available for charter, and what the management agreement must coordinate around crew, maintenance, records, scheduling, and cost.

Decision principle: The question is not whether the aircraft is “Part 91 or Part 135.” Ask who is operating each flight, under what authority, for whose purpose, and with which consequences.

Part 91 and Part 135 describe operations, not brands

Title 14, Part 91 contains general operating and flight rules. Private aircraft operations are commonly conducted under Part 91 when the facts support that structure. Part 135 contains operating requirements for applicable commuter and on-demand operations; the FAA grants certificated operators authority to conduct qualifying on-demand commercial service.

An aircraft management company may support a Part 91 owner, hold a Part 135 certificate, be affiliated with a certificate holder, or coordinate with another operator. The company name on the proposal does not answer which legal entity operates a particular flight. That must be established directly.

Operational control is the hinge

Operational control concerns authority over initiating, conducting, and terminating a flight. It is not a label that can be assigned casually in marketing language. For a private owner operation, the relevant facts, agreements, and responsibilities must support the owner’s lawful structure. For a Part 135 charter flight, the certificated operator exercises operational control.

This is why aircraft, crew, management, and charter arrangements must be examined together. A dry lease, timesharing arrangement, interchange, management agreement, or charter program can carry different legal and operational consequences. Qualified aviation counsel should review the structure; decision analysis should make the parties and dependencies visible enough for that review to be meaningful.

This table is orientation, not a legal determination. Aircraft type, seating, lease structure, carriage, international operations, tax posture, and other facts can materially change the analysis.

Charter availability is a status, not an intention

An owner may sign a management agreement with the expectation that the aircraft will generate charter revenue. That expectation does not make the aircraft immediately available for legal charter operations. The applicable operator, aircraft, approvals, documentation, programs, crew qualifications, and operating specifications must support the commercial flight.

Separate the current state from the proposed state. Ask which certificate holder would operate the aircraft, whether the aircraft appears in the applicable FAA verification resources, what work remains, who owns the timeline, and what happens if approval or readiness takes longer than expected.

Until the condition is satisfied, model charter revenue as conditional—not earned.

Owner access and commercial scheduling need explicit rules

A private-only management arrangement can be organized primarily around owner missions. A charter-enabled arrangement introduces another demand stream. The agreement should resolve how owner blocks are communicated, when charter trips may be accepted, whether an accepted trip can be displaced, what notice applies, and who bears substitute-lift or repositioning cost.

These are not merely scheduling details. They determine whether the owner still receives the access that justified ownership. The economics should be evaluated separately through a complete management-fee and charter-revenue model.

Crew implications extend beyond qualification

Crew assigned to an owner’s aircraft must satisfy the requirements applicable to the operations they conduct. When Part 135 charter is involved, the operator’s approved training, checking, recordkeeping, duty, and operational systems become part of the picture. A provider’s ability to recruit qualified people is not the same as having a complete, available crew for the proposed operating model.

Ask how pilots are employed, supervised, trained, scheduled, and replaced; which flights they are authorized to conduct; how duty limitations interact with owner and charter demand; and what happens when a crew member becomes unavailable. These questions require current records and operator-specific verification, not assumptions based on titles.

Maintenance becomes a coordination problem

Every aircraft requires an appropriate inspection and maintenance program. Commercial use can alter the applicable program, utilization tempo, documentation, maintenance planning, and timing of events. More hours and cycles can accelerate work even when the underlying requirements are well managed.

The owner should understand which entity tracks status, approves maintenance, controls records, coordinates with the operator, and resolves conflicts between revenue opportunities and maintenance needs. Technical conclusions—including airworthiness and program compliance—belong with qualified maintenance and regulatory professionals.

Records must tell one coherent story

A dual-use aircraft generates overlapping records: owner trips, charter trips, crew activity, maintenance status, expenses, customer revenue, operational decisions, and regulatory documentation. The systems may be held by different teams or entities. Fragmentation is where small inconsistencies become expensive.

Before signing, define record ownership, access, retention, reconciliation, and transfer. Ensure the owner can recover complete aircraft and financial information if the management or charter relationship ends. A portal is useful; durable control is better.

Do not use the distinction as a safety slogan

Part 135 imposes requirements associated with certificated commercial operations. Part 91 applies to a broad universe of operations with their own rules and responsibilities. It is analytically unsound to convert the labels alone into a universal verdict about a provider, crew, aircraft, or flight.

Safety evaluation may require current operator records, audits, aircraft condition, maintenance status, crew information, insurance documents, and specialist judgment. Regulatory category is a material input. It is not a substitute for diligence.

Contract provisions that should match the operating reality

  • Identity and role of the manager, owner, certificate holder, charter seller, and any affiliate
  • Operational-control language appropriate to each category of flight
  • Conditions and timeline for placing the aircraft into charter service
  • Owner-priority, scheduling, and accepted-charter rules
  • Crew employment, training, supervision, and replacement responsibility
  • Maintenance approval, recordkeeping, and cost-allocation provisions
  • Insurance requirements and evidence for professional review
  • Termination, open trips, receivables, record transfer, and de-authorization steps

These topics implicate legal, tax, regulatory, employment, insurance, and accounting considerations. The final structure should be reviewed by the appropriate advisers before operation.

A practical owner decision sequence

  1. Define the missions the aircraft must serve and whether third-party charter is actually desired.
  2. Map every legal entity and its role in private and commercial flights.
  3. Verify the current authority and aircraft status through primary sources.
  4. Test owner access, crew, maintenance, records, and disruption under both use cases.
  5. Model the economics without assuming charter authorization, demand, or availability.
  6. Route specialist determinations to qualified counsel, accountants, insurers, maintenance professionals, and regulators as appropriate.

Conclusion

The practical difference between Part 91 and Part 135 aircraft management is not a badge on the aircraft. It is a change in operating purpose, authority, control, systems, scheduling, records, economics, and exposure.

An owner does not need to become the regulator. The owner does need a decision structure that identifies the parties, verifies the present state, and refuses to book conditional charter benefits before the conditions exist.
